Términos y Condiciones

Estos Términos y Condiciones (los "Términos") regulan el acceso y uso de la plataforma ValetOS (el "Servicio"), operada por Sitio Uno Inc ("Sitio Uno", "nosotros"). Al crear una cuenta o usar el Servicio aceptas estos Términos. Si actúas en nombre de un negocio, declaras tener autoridad para obligarlo.

1. Qué es ValetOS

ValetOS es una plataforma de software (SaaS) para la operación de servicios de valet parking. Permite a negocios operadores de valet (los "Operadores" o "tenants") registrar vehículos (check-in), emitir tickets digitales, enviar avisos por SMS a sus clientes finales (los "Clientes"), cobrar la tarifa online o registrar cobros en sitio, coordinar la solicitud y entrega de vehículos, capturar fotografías del estado del vehículo y consultar reportes de su operación.

2. Roles y responsabilidades

  • Sitio Uno provee el software. No somos el operador del valet: no recibimos, custodiamos, movemos ni entregamos vehículos, ni empleamos al personal del valet.
  • El Operador es el único responsable de su operación física: la custodia de los vehículos y llaves, los daños, pérdidas o robos, el personal, los permisos y licencias de su actividad, las tarifas que cobra y el cumplimiento de las leyes que le apliquen.
  • El Cliente se relaciona contractualmente con el Operador, no con Sitio Uno. El ticket digital es un instrumento del Operador.

3. Cuentas y acceso

Los dueños y administradores acceden con su cuenta de Google. El personal operativo (valets) accede con su número de teléfono mediante un código de un solo uso enviado por SMS. Eres responsable de mantener el control de tus medios de acceso y de las acciones realizadas desde tu cuenta. Debes notificarnos sin demora cualquier acceso no autorizado.

4. Planes, precios y facturación

  • El Servicio se ofrece en planes con límites de uso (tickets por mes, SMS incluidos, sedes, usuarios, funciones). Los límites vigentes se muestran al contratar y en la configuración de tu cuenta.
  • Los planes de pago se facturan por adelantado (mensual o anual) a través de nuestro procesador de pagos. Los períodos de prueba, cuando existan, se convierten en suscripción de pago al finalizar salvo cancelación previa.
  • Al alcanzar un límite del plan, el Servicio puede rechazar la operación que lo excede (por ejemplo, nuevos tickets o envíos de SMS) hasta el siguiente ciclo o hasta ampliar el plan.
  • Los precios pueden cambiar; los cambios se comunican con antelación razonable y aplican al siguiente ciclo de facturación.

5. Cobros a Clientes finales

Los cobros online de tarifas de valet se procesan mediante Stripe Connect directamente a la cuenta del Operador. Sitio Uno puede retener una comisión de plataforma por transacción según el plan contratado. El Operador es responsable ante su Cliente por los cargos, reembolsos y disputas de su operación. Sitio Uno no almacena datos de tarjetas.

6. Mensajería SMS

  • El Servicio envía SMS operativos en nombre del Operador: link del ticket, código de retiro (PIN), avisos de vehículo listo y códigos de acceso del personal.
  • El Operador declara y garantiza que cuenta con el consentimiento necesario de sus Clientes para recibir estos mensajes operativos y que los números que registra son correctos.
  • Está prohibido usar la mensajería del Servicio para fines promocionales, spam o cualquier uso distinto a la operación del valet.
  • El envío de SMS está disponible únicamente hacia los países habilitados en la plataforma y sujeto a la cuota del plan.

7. Fotografías y contenido

El Operador puede capturar fotografías del vehículo al recibirlo como respaldo del estado de entrega. El Operador es responsable de contar con las autorizaciones que su legislación exija para dicha captura. Las fotos se almacenan de forma privada y se asocian al ticket correspondiente. El contenido que el Operador carga al Servicio es de su titularidad; nos concede una licencia limitada para almacenarlo y procesarlo con el único fin de prestar el Servicio.

8. Uso aceptable

  • No usar el Servicio para actividades ilícitas ni en violación de derechos de terceros.
  • No intentar vulnerar la seguridad, acceder a datos de otros tenants ni interferir con la infraestructura.
  • No revender, sublicenciar ni hacer ingeniería inversa del Servicio.

9. Datos personales

El tratamiento de datos personales se describe en nuestra Política de Privacidad. Respecto de los datos de los Clientes finales, el Operador actúa como responsable del tratamiento y Sitio Uno como encargado que procesa por cuenta del Operador.

10. Disponibilidad y soporte

Procuramos mantener el Servicio disponible de forma continua, pero se ofrece "tal cual" y "según disponibilidad", sin garantía de funcionamiento ininterrumpido o libre de errores. Podemos realizar mantenimientos, actualizaciones y cambios de funcionalidades.

11. Limitación de responsabilidad

En la máxima medida permitida por la ley: (a) Sitio Uno no responde por daños, pérdidas o robos de vehículos, llaves u objetos, ni por actos u omisiones del Operador o su personal; (b) no respondemos por daños indirectos, lucro cesante o pérdida de datos; y (c) nuestra responsabilidad agregada total frente al Operador se limita a los montos pagados por el Servicio en los tres (3) meses anteriores al hecho que la origine.

12. Suspensión y terminación

Puedes cancelar tu suscripción en cualquier momento; el acceso de pago continúa hasta el fin del período facturado. Podemos suspender o terminar cuentas por incumplimiento de estos Términos, impago o uso que ponga en riesgo el Servicio o a terceros. Tras la terminación podrás solicitar la exportación de tus datos durante un plazo razonable antes de su eliminación.

13. Propiedad intelectual

El Servicio, su software, marcas y diseño son propiedad de Sitio Uno Inc o de sus licenciantes. Estos Términos no transfieren ningún derecho de propiedad intelectual, solo un derecho de uso limitado, revocable y no exclusivo mientras la cuenta esté vigente.

14. Modificaciones

Podemos actualizar estos Términos. Los cambios materiales se notificarán por el Servicio o por correo con antelación razonable. El uso continuado tras la entrada en vigor constituye aceptación.

15. Ley aplicable y contacto

Estos Términos se rigen por las leyes del Estado de Florida, Estados Unidos, sin perjuicio de las normas imperativas del país del Operador. Contacto: hola@valetos.io.

These Terms and Conditions (the "Terms") govern access to and use of the ValetOS platform (the "Service"), operated by Sitio Uno Inc ("Sitio Uno", "we"). By creating an account or using the Service you accept these Terms. If you act on behalf of a business, you represent that you have authority to bind it.

1. What ValetOS is

ValetOS is a software platform (SaaS) for running valet parking operations. It allows valet businesses (the "Operators" or "tenants") to check vehicles in, issue digital tickets, send SMS notices to their end customers (the "Customers"), collect the fee online or record on-site payments, coordinate vehicle requests and delivery, capture photos of vehicle condition, and view operational reports.

2. Roles and responsibilities

  • Sitio Uno provides the software. We are not the valet operator: we do not receive, hold, move or deliver vehicles, nor do we employ valet staff.
  • The Operator is solely responsible for its physical operation: custody of vehicles and keys, damage, loss or theft, its staff, the permits and licenses for its activity, the fees it charges, and compliance with applicable law.
  • The Customer contracts with the Operator, not with Sitio Uno. The digital ticket is an instrument of the Operator.

3. Accounts and access

Owners and administrators sign in with their Google account. Operational staff (valets) sign in with their phone number using a one-time code sent by SMS. You are responsible for keeping control of your access methods and for actions taken from your account. Notify us promptly of any unauthorized access.

4. Plans, pricing and billing

  • The Service is offered in plans with usage limits (tickets per month, included SMS, locations, users, features). Current limits are shown at signup and in your account settings.
  • Paid plans are billed in advance (monthly or yearly) through our payment processor. Trial periods, where offered, convert into a paid subscription at the end unless cancelled beforehand.
  • When a plan limit is reached, the Service may reject the operation that exceeds it (for example, new tickets or SMS) until the next cycle or a plan upgrade.
  • Prices may change; changes are communicated with reasonable notice and apply from the next billing cycle.

5. Charges to end Customers

Online valet fee payments are processed through Stripe Connect directly into the Operator's account. Sitio Uno may retain a per-transaction platform fee according to the contracted plan. The Operator is responsible to its Customer for charges, refunds and disputes of its operation. Sitio Uno does not store card data.

6. SMS messaging

  • The Service sends operational SMS on the Operator's behalf: ticket link, pickup code (PIN), vehicle-ready notices and staff access codes.
  • The Operator represents and warrants that it has the necessary consent from its Customers to receive these operational messages and that the numbers it registers are correct.
  • Using the Service's messaging for promotional purposes, spam, or anything other than the valet operation is prohibited.
  • SMS delivery is available only to countries enabled on the platform and subject to the plan quota.

7. Photos and content

The Operator may capture photos of the vehicle at check-in as a record of its condition. The Operator is responsible for any authorizations its jurisdiction requires for such capture. Photos are stored privately and linked to the corresponding ticket. Content the Operator uploads remains its property; it grants us a limited license to store and process it solely to provide the Service.

8. Acceptable use

  • Do not use the Service for unlawful activities or in violation of third-party rights.
  • Do not attempt to breach security, access other tenants' data, or interfere with the infrastructure.
  • Do not resell, sublicense or reverse-engineer the Service.

9. Personal data

Our processing of personal data is described in the Privacy Policy. With respect to end-Customer data, the Operator acts as data controller and Sitio Uno as a processor acting on the Operator's behalf.

10. Availability and support

We strive to keep the Service continuously available, but it is provided "as is" and "as available", without warranty of uninterrupted or error-free operation. We may perform maintenance, updates and feature changes.

11. Limitation of liability

To the maximum extent permitted by law: (a) Sitio Uno is not liable for damage, loss or theft of vehicles, keys or belongings, nor for acts or omissions of the Operator or its staff; (b) we are not liable for indirect damages, lost profits or data loss; and (c) our total aggregate liability to the Operator is limited to the amounts paid for the Service in the three (3) months preceding the event giving rise to it.

12. Suspension and termination

You may cancel your subscription at any time; paid access continues until the end of the billed period. We may suspend or terminate accounts for breach of these Terms, non-payment, or use that endangers the Service or third parties. After termination you may request an export of your data within a reasonable period before deletion.

13. Intellectual property

The Service, its software, trademarks and design are the property of Sitio Uno Inc or its licensors. These Terms transfer no intellectual property rights — only a limited, revocable, non-exclusive right of use while the account is active.

14. Changes

We may update these Terms. Material changes will be notified through the Service or by email with reasonable notice. Continued use after they take effect constitutes acceptance.

15. Governing law and contact

These Terms are governed by the laws of the State of Florida, United States, without prejudice to mandatory rules of the Operator's country. Contact: hola@valetos.io.
